According to UCC to be considered a holder in due course a party
must meet four requirements.
1. The party must be a holder of a complete and authentic
negotiable instrument
. Michael Kane Jr. sold Gerald Kroll Jr. some cows
2. The holder must take the instrument for value. Section 403.302
(1)(a) , STATS
. Kane took the instrument from Grace in payment of
Gerald’s debt and thereby satisfied the requirement of
§403.302(1)(a)
3. The holder must take the instrument in good faith. Defined in
§Section 401.201(19), STATS
. In the affidavit, Kane supports his contention that he
accepted the check from Grace in good faith for the
payment of Gerald’s antecedent debt. There is not
evidence from either party that suggest bad faith on
Kane’s part.
4. The holder must take the instrument without notice of defects. a
Section 403.302(1)(c),STATS
. No knowledge of any defect or proof of negative fact.
Grace also has not alleged that Kane had knowledge of
any defense at the time he took the check
In conclusion, Kane has met the requirements he was a holder in due
course.
There are ambiguities present because the trial court held that Kane
was not a holder in due course because he did not prove he took the
check in good faith and without notice of Grace’s defenses. a The
burden of proof in this case lies with Grace and none of the affidavits
supplied by either party suggest evidence of bad faith.
Ethical guidelines are defined as a simple tool to help determine
whether an action is moral.
The law creates a legal binding. The fact a culture might be wrong
about what is morally correct, and instantiates laws to reflect their
views, does not mean their laws are not based on morality, but that
the moral views on which they are based are simply wrong. The laws
can be immoral while still being based on accepted, but wrong, moral
principles (Arnold, 2020).
