Shania really would like to be her own boss and open a Christian based Coffee House in
Denver, Colorado. Her husband, her sister, and a neighbor are all willing to support her in some
way, whether it is financially as a silent partner, or as an employee. There are a few obstacles
that are potentially blocking Shania’s path, and some very important decisions that need to be
made in her case. Each one will be addressed and advice given on the situation.
Business Forms under Consideration
Sole Proprietorship
The benefits of opening a sole proprietorship are that is easy to form, and one of the lease
expensive companies to start. Sole proprietorship is generally one person opening the business,
not multiple. They pay a personal income tax instead of a corporate tax and their business taxes
are generally tied to that personal income tax form they file. They are held liable for any debt
the business occurs. With Shania’s husband’s contribution of capital, she could very well start a
sole proprietorship and hire her sister and her neighbor on as employees. This is the most
attractive option for Shania, and one that I would recommend to her.

A general partnership is descried as a business of two or more owners for profit
