I have noticed a pattern in the discussion threads that will not serve you well in the Midterm. There are posts that explain the law and the elements or defenses but don’t mention the facts and there are posts that discuss the facts but don’t mention the law, its elements or defenses. In the midterm you’ll need to do BOTH in your answers. You will need to identify the issue, lay out the elements and or defenses and use the facts to shown how you reach a conclusion. I hope this helps!
Remember, that the Midterm is open book and open notes but you are not to do any outside research when taking the exam.

1. The Midterm Exam is "open book, open notes." The maximum time you can spend in the exam is 3 hours, 30 minutes. If you have not clicked the Submit for Grade button by then, you will be automatically exited from the exam. In the Midterm Exam environment, the Windows clipboard is disabled, and so you will not be able to copy exam questions or answers to or from other applications.
2. You should click the Save Answers button in the exam frequently. This helps prevent connection timeouts that might occur with certain Internet service providers, and also minimizes lost answers in the event of connection problems. If your internet connection does break, when you reconnect you will normally be able to get back into your Midterm Exam without any trouble. Remember, though, that the exam timer continues to run while students are disconnected, so students should try to log in again as quickly as possible. The Help Desk cannot grant any student additional time on the exam. If you get bounced out of the Midterm Exam with time remaining, you may contact your instructor, who may be able to get you readmitted to the exam.

4. Reminders
· You will only be able to enter your online Midterm Exam one time.
· Click the Save Answers button often.
· If you lose your Internet connection during your Midterm Exam, log in again and try to access your Midterm Exam. If you are unable to enter the Midterm Exam, contact first the help desk and then your instructor.
· You will always be able to see the time remaining in the Midterm Exam at the top right of the page.
5. Assessments With Multiple Pages
· Make sure you click the Save Answers button often (it is also suggested that you click on Save Answers while you are working).
· Complete all of the questions before submitting your Midterm Exam for instructor review.
· Do not use your browser's Back and Forward buttons during the Midterm Exam.

6. Submitting Your Midterm Exam
· When you are finished with the Midterm Exam, click on the Submit for Grade button.
· Please note: Once you click the Submit for Grade button, you will not be able to edit or change any of your answers.
7. Exam Questions
· The Midterm covers the material studied in Weeks 1, 2, 3, and 4 of our course, which includes TCOs A, B, C, E, and G, and Chapters 1, 2, 3, 5, 7, 8, 9, 10, 11, 12, 13, 14, 18, and 22.
· The Midterm Exam contains only one page.
· The Midterm Exam consists of five essay questions (30 points each), for a total of 150 points.
· On the essay questions your answers should be succinct, should fully address each part of the question, and should demonstrate your knowledge and understanding in a concise but complete answer. You can use bullets where appropriate (i.e. listing elements, defenses, or steps). Ensure you analyze and give reasons for answers because partial credit is given for incomplete answers, even if a complete answer is wrong.
· Remember: always use proper citations when quoting other sources! Place any quoted or borrowed material (even a short phrase) in quotation marks with the source (URL, author/date/page #) immediately following the end of the passage. Even cite paraphrased information. Quoted or paraphrased material should not dominate your work; use it sparingly to support your own thoughts, ideas, and examples. Failure to properly cite material can jeopardize a passing grade on the exam. Your work may be submitted to turnitin.com, an online plagiarism checking service.
8. Some of the key study areas are as follows (although these are key areas, remember that the exam is comprehensive for all the assigned course content and this study guide may not be all inclusive).
TCO A: Given federal regulation of business and commercial practices formulate a strategy by which an impacted business can influence, revise or contest regulatory outcomes to shape business and organizational policy.
Key Concepts
· Classify the sources of law and how the purposes of law promote the practice of business via constitutional limitations, regulation of business activity, challenging administrative actions, and participating in the rule-making process.
· Analyze the definition of business ethics.
· Differentiate between the ethical theories that aid in the practice of business.
· Evaluate ethical dilemmas.
TCO B: Given an example of corporate liability arising from the sale of defective and dangerous products, propose a business strategy that includes ethical, legal and political considerations to minimize liability for claims of product liability and breach of warranty.
Key Concepts
· Analyze how product liability and warranty law has evolved to move the risk of loss from defective products to the manufacturer.
· Apply the elements of and defenses against a tort action for negligence.
· Illustrate how product liability moved from a negligence standard to strict liability in tort and how sellers of goods are held to both express and implied warranties.

TCO C: Given a business or commercial contract for the sale of goods and services to a customer, examine the elements of the contract, and determine whether the contract is enforceable under common law or the Uniform Commercial Code.

TCO E: Given organizational ownership of property (real, personal and intellectual), analyze the rights of an organization regarding the protection of its property and the legal rights and obligations arising out of the use of the property, including environmental impact and issues where appropriate.
