This SEC 10-K report is for the company, Hewlett Packard for the fiscal year ended 31st October, 2010 as pertains to segments and references to non-controlling interest. This report is located in the Part II of the SEC-10 form and it lists the five items related to it. The items include principal accountant fees and services, certain relationships and the transactions that are related and independence of the director, security ownership and related stockholder matters, executive compensation and directors, executive officers and corporate governance details. This paper discusses this section of the report.

The company starts by giving the names of the executive officers and their related relevant details and tells where their details are located in the report. The information to be incorporated in the Proxy statement include information as regards the directors of HP who wish to be reelected and those who are nominated to be directors, HP Audit Committee and the companies code of business and its directors ethics. Finally, in this item, the information of the beneficial owners of in reporting compliance is the fourth item of discussion.

The second item is about the compensation given to the company’s executives. The information regarding compensation of the executives is in the Proxy Statement and refers to how the named executive officers are compensated and how the entire compensation is set and the compensation of its directors. The report details where the information about how the directors’ compensation is set. This information can be found in the Director Compensation and Stock Ownership Guidelines as necessary. Another information included under this item by reference is the HR and Compensation Committee and its composition (Commission, 2010).

Third item information found in the form is on the security ownership, management and other related stockholder matters. The information is incorporated in the report by reference. Any information as regards ownership of security of given beneficial owners, executive officers and directors can be found under the Common Ownership of certain beneficial owners as well as management. The equity compensation plans which include both stockholder approved and non-stockholder approved plans are set in the report too in the Equity Compensation Plan Information section. Stockholders are an important part of HP company and therefore they need to be treated as important and therefore should be treated as such.

Item 13 of this form, forms the fourth part in this section. The item relate to the matters of the certain relationships and other related transactions as well as the independence of HP’s directors. The information is found in the Proxy Statement and is incorporated by reference in the form. The information that regards transacting with related persons is found in the Transactions with related persons section. The information details how the company or its directors treat certain people or individuals inside or outside of the company. The independence of HP directors is set in the Corporate Governance Principles and Board Matters. This section details what the directors can and cannot do when acting for the Company.

The last item is on the principal accountant fees and the services they offer. The information about the fees that the principal auditor can charge is set in the Principal accountant fees in the proxy statement. In addition, the services that the accountants and auditors can offer to other clients other than HP when extending their services are also detailed. The conduct of the auditors and accountants is given in the item.
