Clarence Holden and Flour-Is-Us: Contract

In Week 1, on behalf of your client Clarence Holden, you drafted an offer letter to Flour-Is-Us, with the terms for the sale. 

Flour-Is-Us has accepted the offer. Clarence Holden would like you to draft a contract based on the terms from last week. Clarence wants to make sure his deliveries are made on time daily. Flour-Is- Us wants to make sure Clarence buys its supplies exclusively from Flour-Is-Us for one year. Research the laws on Westlaw relevant to exclusive sales contracts in your state. Then, under the supervision of your attorney, do the following:

1. Write a one-page memo citing a case or two on exclusive sales contracts from your state.
2. Draft a contract of no more than 500 words. Make sure Clarence will get his deliveries on time. Also, make sure the exclusive sales contract is enforceable in your state.
