I need outline about hypothetical .

I would write a hypothetical as attorney , advise some group they looking for making a corporation . so I will advise them In which jurisdiction they should chose and in which form the should take, and what is the advantage and disadvantage . For Example, if some one asked me advise about bank or credit card I will advise them Dakota because there is no limit cap .
