Legal Research and Writing – Week 7 Assignment
Email Memo Assignment
You have received the following research assignment by email from Eliza Watkins, one of the senior attorneys in your firm:
Hi,
One of our clients, Rebecca Winslow, believes she has evidence of federal securities fraud (specifically, insider trading) by her employer, Capstone Investment Group. Rebecca is interested in knowing how to file a whistleblower tip or complaint with the SEC about the fraud, and if she does so, whether her privacy will be protected, any possible rewards available to whistleblowers, and whether Capstone can retaliate against her.
Please draft a short memo we can send to Rebecca by email. I believe you should be able to obtain all the information you need on the SEC’s website.
Eliza
Your memo should be one to two pages in length. All of the information needed to prepare the email memo can be found at the website of the SEC’s Office of the Whistleblower. The specific information needed can be found in the FAQs section of the website at www.sec.gov/whistleblower/frequently-asked-questions.
Include the following aspects in your memo:
· Respond to each of the four of the questions asked by the client.
· Use the IRAC method in your analysis.
· Use the format discussed in Chapter 17 of the textbook to help you prepare your memorandum

Key Steps Involved in Writing a Legal Memorandum
1. Issue Identification:
· Begin by identifying and defining the legal issue or question at hand. This is the starting point for the entire memorandum.
2. Factual Background:
· Provide a concise and accurate summary of the relevant facts. Ensure that you distinguish between relevant and irrelevant details, focusing on what is essential to the legal analysis.
3. Legal Research:
· Conduct thorough legal research to identify applicable statutes, regulations, case law, and other legal authorities that are relevant to the identified legal issue.
4. Legal Analysis:
· Apply the law to the facts of the case. Analyze how the legal authorities support or oppose the client's position. Discuss any ambiguities or uncertainties in the law and consider how they might impact the case.
5. Counterarguments:
· Address potential counterarguments or opposing viewpoints. Anticipate how the opposing party might interpret the law differently and provide reasoned responses to those perspectives.
6. Legal Conclusion:
· Based on your analysis, clearly state your legal conclusion. This is the answer to the legal question identified at the beginning of the memorandum.
7. Recommendations:
· If applicable, provide recommendations for the client or the legal team. This could include suggested courses of action, potential legal strategies, or further steps to be taken.
8. Legal Writing Style:
· Write in a clear, concise, and objective manner. Use legal terminology appropriately and ensure that the memorandum is well-organized with headings and subheadings for easy navigation.
9. Citations:
· Properly cite all legal authorities, statutes, and cases referenced in your memorandum. Follow the appropriate citation style (e.g., Bluebook) as per the legal community's standards.
10. Editing and Proofreading:
· Carefully review and edit your memorandum for clarity, coherence, and accuracy. Check for grammatical errors and ensure that the document is well-presented.
11. Final Review and Approval:
· Submit the memorandum for review and approval by supervising attorneys or legal professionals. Incorporate any feedback or revisions as necessary.
