The goal of this assignment is to research the different types of business organizational formations,
compare management practices and corporate governance, and determine how ethics, duty of care,
loyalty, and “business judgement rule/piercing the corporate veil” are applicable.
Instructions 
Using your textbook and research in the Strayer Library, address the following in a 5–7 page paper:
1. Research the different types of business organization formations and determine which is best to
avoid liability when starting your own accounting firm. Support your determination with
evidence.
2. Compare and contrast the fiduciary duties partners owe to each other in a limited liability
partnership. Include an example of how each can be breached and explain how the Systematic
Approach is best when facing an ethical dilemma.
3. Examine the Business Judgment Rule and the holding in the case of [Rosati v. Rosati] 2021 U.S.
Dist. LEXIS 155794, 2021 WL 3666432 and explain your understanding of the facts of the case
and the decision by the district court. Provide specific examples of how the Business Judgment
Rule helps to protect decisions by corporate officers.

Carl, a credit officer for U Bank, evaluates and approves extensions of credit to bank clients. He has
access to nonpublic information about clients’ earnings, performance, acquisitions, and business
plans. U Bank caters to a very wealthy clientele and Carl frequently travels to meet potential clients
for lunch dates at fancy restaurants.
Carl contracts privately with Rubin, an independent accountant, to sell securities based on bank
client information. Rubin believes Carl is very smart and has a “nose for business.”
Rubin trades securities of more than 10 different companies and both men profited more than $5
million over five years.
On the way to a business meeting with a potential new bank client, Carl stops at Rubin’s house to
discuss business dealings and have a few drinks. Carl leaves Rubin’s house drunk and is killed
when his car strikes a tree. Carl’s family sues U Bank for Carl’s death.
Rubin, discovering the investment scheme perpetrated by Carl, sues U Bank when he is arrested for
violation of the Securities Exchange Act of 1934.

In April 2021, Amazon employees voted not to unionize at the Bessemer warehouse in Bessemer,
Alabama. Workers rejected unionization, with 71% casting ballots not to join the Retail, Wholesale
and Department Store Union. The Union challenged the vote and filed a complaint to set aside the
vote. In August 2021, under the Biden Administration, a National Labor Relations Board official
recommended nullifying the results.
Research the Bessemer event and resulting recommendation to address the following in a 5–7 page
paper:
1. Analyze the laws that protect employees from discrimination in the workplace, including the
protections afforded to employees’ right to join a labor union.
2. Summarize the case to unionize by employees at the Amazon Bessemer warehouse including the
history, the vote, and arguments by both parties on the issue. Your summary should be detailed
and focused.
