Business Formation
It is in the best interest of Shaina to form her business as an LLC. According to the Small
Business Administration (SBA), the benefit of an LLC will allow her to take advantage of the
benefits of both the corporation and partnership business structures, she will be protected
from personal liability in the event someone got sick from her coffee, or an employee sold/used
other employee personal information. Her personal assets — like vehicles, home, and savings
accounts — won't be at risk in case the above instances occur, and she is faced with bankruptcy
or lawsuits. Also, if she wants to expand her business to other states, for purposes of jurisdiction,
an LLC is considered a citizen of every state in which a member resides (Kubasek et al., 2021).
Business Name
According to Colorado’s Secretary of State, there are over 30 businesses with “Gathering
Place” in the business name and is not available for trademark. It is possible to still proceed with
this name in the event that her business would be the only coffee shop, however, I do not
recommend that she use this as her business name. Doing so would cause brand confusion and
“A Gathering Place” does not tell the consumer what her business sells or provides and again,
she will never be able to trademark this name.
Employees
Marvin
Marvin is not interested in supporting this business venture as an employee but as an
investor. I think this is a fair and wise compromise.
Kelsey
Although Kelsey’s intentions are good- supporting her sister and desiring some
independence, her husband is not in favor of this decision. The last thing Shaina needs is her

sister’s marital problems spilling into her business. The book of Ephesians says “Wives, submit
to your own husbands, as to the Lord. For the husband is the head of the wife even as Christ is
the head of the church, his body, and is himself its Savior. Now as the church submits to Christ,
so also wives should submit in everything to their husbands (Ephesians 5:22-24).
Carlos
In the book of Corinthians, the Apostle Paul poses questions about working with non-
believers. He says to us “Do not be mismatched with unbelievers. For what partnership is there
between righteousness and lawlessness? Or what fellowship is there between light and darkness?
What agreement does Christ have with Beliar? Or what does a believer share with an unbeliever
(1 Corinthians 6:14-15, NIV)? However, I truly believe that inclusion of non-believers can be a
ministry and help bring them to Christ. When we look at those whom Christ kept in company, we
learn that they were the lowest of the low- prostitute, tax collectors, and liars. However, Jesus’
nature was able to transform these individuals. Jesus tells us “In the same way, let your light
shine before others, so that they may see your good works and give glory to your Father who is
in heaven (Mathew 5:16, NIV).
Carlos would be my choice for two reasons: denying him a job because of his lack of
belief in my opinion and understanding of the nature of Christ would be un-Christ like and the
other options could really cause chaos between friends and family.
