Answer all 9 of the following questions.

1. What does Shaw say distinguishes a specifically capitalist corporation? How does it differ from past notions of a corporation in terms of its driving interests and especially in terms of charters? (Think of the two theoretical shifts that Shaw mentions p. 159) Does its modern form arise as essentially accountable to any common, public good? Or is it released solely for the market and its private ends?

2. From the Shaw reading what is significant about the Supreme Court’s decision for Citizens United? In light of question 1 regarding the history and nature of the modern corporate charter why might it be problematic that modern corporations not only have legal and political rights to free speech, but are also considered persons?

3. Elaborate the three ways, as Shaw lists them (beginning on p. 171), that the "narrow view" of corporate social responsibility has often been understood? How do you think the three ethical paradigms would correspond to these three understandings?

4. In the article by Marc Benioff what does he say is the main problem of capitalism and its corporate structure? Detail his proposed solution (include examples of corporate restructuring within and government regulations from outside)

5. What ethical framework do think is implied in his solution, and do you think it is sufficient?

6. According to Kim Phillips-Fein where do lasting socially responsible reforms (as more than trends) really come from?

7. Why does Phillips-Fein say that stakeholder capitalism is a self-defeating strategy? From her analysis what would be needed for stronger forms of social responsibility?

8. How does David Herrera characterize the capitalist model of corporations under what he defines as “traditional” organizations? Specifically elaborate the difference between how traditional and non- traditional corporations understand the meaning of human labor?

9. Elaborate how the worker-owned cooperative, Mondragon, is an example of a more holistic sense of human labor and how it provides a more democratic alternative to traditional corporations. What virtues and practices in management and governance does its democratic structure require?
