Strength

Strong financial performance enables the company to provide higher returns to its shareholders

T-Mobile’s financial performance strengthened in the FY2019. Improvement in financial performance enables the company to provide higher returns to its shareholders, enabling it to attract further investments. Growth in revenue and profitability also enhance the company’s ability to allocate adequate funds for growth and expansion. In FY2019, the company reported revenue of US$44,998 million as compared to US$43,310 million in FY2018, an annual growth of 3.9%. The increase in revenue was due to increase in Branded postpaid revenues, Roaming and other service revenues and Wholesale revenues by 9%, 43% and 8% In FY2019, the company’s operating margin was 12.7% compared to an operating margin of 12.3% in FY2018. In FY2019, the company recorded a net margin of 7.7%, compared to a net margin of 6.7% in FY2018. Improving operating performance indicates the company’s focus on efficient cost management.

high-bandwidth mobile communications services. The company’s network transformation strategy is focused on network modernization and fourth generation (4G) evolutions. Over the last few years, the company invested primarily in modernizing its network to support growing demand for high bandwidth solutions. The company's capital expenditures were primarily associated with the continued expansion of its network coverage. As of December 2019, the company owned an average of 111 MHz of spectrum in the US, which comprised an average of 31 MHz in the 600 MHz band, 29 MHz in the 1900 MHz PCS band, 10 MHz in the 700 MHz band and 41 MHz in the AWS band. The company also intends to acquire spectrum licenses in private party transactions and future Federal Communications Commission (FCC) spectrum license auctions, including the broadcast incentive auction of low-band 600 MHz spectrum licenses. In 2019, T-Mobile owned an average of 600 and 700 MHz of low-band spectrum. It had more than 33 million devices compatible with 600 MHz spectrum. The company's significant investments in network infrastructure enabled it to expand its network coverage and establish itself as one of the fastest 4G services providers in the US. It also enabled it to expand its customer base and drive significant revenues. In addition, well established network provides competitive advantages to the company enabling it to penetrate competitor's markets and strengthen its leadership position in the US wireless communications market.

Strong network infrastructure provides competitive advantages

T-Mobile maintains a strong network infrastructure. It is a leading provider telecommunication service in the US. As the end of 2019, T-Mobile’s LTE network served approximately more than 327 million people. Its network serves in major metropolitan cities and around more than 99% customers the country, excluding roaming coverage. Moreover, it has 2,200 T-Mobile retail outlets, including kiosks and stores. As of December 2019, it operated 25,000 distributed antenna system, small cell sites and 66,000 macro towers through retail stores in 49 states and 8,900 cities and towns in Puerto Rico and the US. It served 86 million wholesale, prepaid and postpaid customers. In FY2019, the company had 21.1% Wholesale customers, 24.2% Branded prepaid customers and 54.7% Branded postpaid customers. Its VoLTE includes 90% of total voice calls in FY2019 as compared to 87% in last year. Nationwide strong network infrastructure enables the company to provide efficient services which in turn improve its growth prospects.

Weakness

Weak liquidity position could affect company’s operation

T-Mobile’s liquidity declined in FY2019. Low liquidity is an indication of the decreasing ease in funding the company’s day to day operations, which also limits its ability to capture growth opportunities in the market. The company’s current ratio was 0.7 at the end of FY2019. The company’s current ratio was lower than that of its major competitor, ViaSat Inc, which reported a current ratio of 1.7 during the same period. The decrease in current ratio could be due 18% increase in total current liabilities, which increased from US$ 10,267 million in FY2018 to US$12,506 million in FY2019, due to increase in Short- term operating and financing lease liabilities. Weak liquidity position may impede the company’s future endeavor.

Positive outlook for US telecommunication industry

T-Mobile may benefit from the growing telecom industry in the US. The telecom growth is expected to grow in the US in coming years. According to in-house research, the US telecom service market is expected to increase from US$311.8 billion in 2017 to US$330.9 billion in 2022, at a CAGR of 1.2%. The Wireless segment is expected to be the major contributor with a market share of 60.6%, followed by the Fixed-Line segment with 39.4%. The US accounts for 25.5% of the global telecommunication service market value. This is primarily due to the increasing demand for wireless networks; and consumer’s preference for faster data connectivity, quick video streaming with high resolution and rich multimedia applications have led the operators to focus data and video.

Growth through acquisitions could increase the business prospects

T-Mobile has been making strategic acquisitions to grow its business. In January 2021, the company announced its plan to acquire the Sprint-branded wireless operating assets of Brookings Municipal Utilities (BMU) in Brookings, South Dakota. The acquisition will help the company in expanding its retail distribution and enhance network coverage in the area. In April 2020, the company merged with Sprint Corporation to create the New T-Mobile, a supercharged Un-carrier to deliver a transformative 5G network. The acquisition may help the company to enhance its 5G network service and increase its customer base. Such acquisitions bring complementary technologies, support geographic expansion and leverage existing infrastructure for T-Mobile.

Global IoT market

The outlook for the global Internet of Things (IoT) markets is robust. According to in-house research, the IoT enterprise market is estimated to reach US$318 billion at the end of 2023. The service and software category may account for 71.2% of the expenditure on IoT by 2023, followed by devices with 17.3% and connectivity with 11.6%. IoT is the holistic interconnection of business processes, applications, people, services and devices with a network to share information without any human intervention. The major forces driving the IoT market are development of cheaper and smarter sensors, evolution of high-speed networking technologies, and rising adoption of cloud platforms across industry verticals.

Threat

Dependence on third parties to provide products and services

T-Mobile depends upon third party to provide service and products for its business operation. The company depends heavily on suppliers and subcontractors, and other third parties to efficiently operate business. Due to the complexity of business, it is not possible to involve a diverse set of suppliers to help maintain, develop and Table of Contents. The company’s several products and services are available through various suppliers and sources. However, it has limited number of suppliers who can provide voice and data communication and billing services, network infrastructure, handsets, equipment, other devices, and payment processing services, among other products and services. Any disruptions or failure of such

suppliers could have a material effect on financial condition, business and operating results of the company.

Competitive pressures

The wireless telecommunications industry in the US, in which T-Mobile operates, is highly competitive. The company's competitors include national carriers, numerous smaller regional carriers and mobile virtual network operators (MVNOs). The company also competes with other providers who offer similar communications services, such as voice and messaging, using alternative technologies or services. The competition is based on various factors, including pricing, market saturation, service and product offerings, customer experience, network investment and quality, development and deployment of technologies, availability of additional spectrum licenses, and regulatory changes. The company's major competitors include AT&T and Verizon Communications. Further, these two players are significantly larger than the company and enjoy greater resources and scale advantages. Furthermore, these two players currently serve a significant percentage of all wireless customers and hold significant spectrum and other resources. Also, the largest competitors may be able to enter exclusive handset, device, or content arrangements, execute pervasive advertising and marketing campaigns, or otherwise improve their cost position relative to the company. The refusal of large competitors to provide critical access to resources and inputs, such as roaming services on reasonable terms, may improve their position within the wireless broadband mobile services industry. These factors, together with the effects of the increasing aggregate penetration of wireless services in all metropolitan areas and the ability of these larger competitors to use resources to build out their networks and to quickly deploy advanced technologies, increases the competitive pressure on smaller carriers like T-Mobile to attract and retain customers. Intense competition may negatively impact the company's market share, its ability to strengthen its market presence and would adversely impact the company's overall business, results of operations and cash flows.

Regulatory environment

T-Mobile, as part of its operations across the US, Puerto Rico and the US Virgin Islands is subject to regulatory and legislative action by applicable local, state and federal governmental entities. The US Federal Communications Commission (FCC) regulates the licensing, construction, modification, operation, ownership, sale, and interconnection of wireless communications systems, along with other state and local regulatory agencies. For example, the FCC has rules regarding provision of 911 and E- 911 services, porting telephone numbers, interconnection, roaming, internet openness or net neutrality, disabilities access, privacy and cybersecurity, consumer protection, and the universal service and Lifeline programs. The company's operations are also regulated by, the Federal Trade Commission (FTC) and other federal agencies, such as the Consumer Financial Protection Board (CFPB) that have jurisdiction over consumer protection and elimination and prevention of anticompetitive business practices with respect to the provision of non-common carrier services. The company is also subject to regulatory oversight by the FCC, FTC, and/or other federal agencies, as well as judicial review and actions, on issues related to the wireless industry that include, but are not limited to: roaming, spectrum allocation and licensing, pole attachments, intercarrier compensation, Universal Service Fund (USF), net neutrality, special access, 911 services, consumer protection, consumer privacy, and cybersecurity. In addition, wireless communications providers must be licensed by the FCC to provide communications services at specified spectrum frequencies within specified geographic areas and must comply with the rules and

policies governing the use of the spectrum as adopted by the FCC. Failure to comply with applicable regulations could have a material adverse effect on the company's business and results of operations.

An excerpt from Management’s Discussion and Analysis of Financial Condition and Results of Operations is given below. The statement has been taken from the company’s 10-k SEC filing 2019.

Business Overview Seven years ago we set out to disrupt the wireless industry and change the status quo by listening to our customers and solving their pain points through our signature Un-carrier moves. It’s this Un-carrier strategy and our unrivaled customer-experience obsession that are the driving force of our success. Year after year T-Mobile continues to fi re on all cylinders, and 2019 was no different. In 2019 we delivered record fi nancial results and strong customer growth. On top of that, we launched America’s first nationwide 5G network with our 600 MHz spectrum. This 5G network is the foundational layer of 5G coverage, and it’s just the beginning of our 5G journey! In addition, we continue to expand our footprint and improve network performance, because customers shouldn’t have to sacrifi ce network quality for a better value. Changing Wireless for Good As the Un-carrier, weʼve built a differentiated brand that is backed by a culture centered around caring about our customers. It’s these tens of thousands of crazy- talented, customer-obsessed employees who are the secret sauce to our success. All the while, T-Mobile has been working diligently over the last two years to effectively close our merger with Sprint to create New T-Mobile on April 1, 2020, while simultaneously delivering record business results. With New T- Mobile, we will create the world’s most transformative 5G network—supercharging innovation in the U.S. and connecting people throughout the country. Ultimately, the merger allows us to unlock the potential of massive scale, enabling us to support better services at lower prices. Together we have the brand, the people, and the network to SUPERCHARGE our Un-carrier strategy! In 2019 T-Mobile continued its trend of strong customer growth, as more Americans chose to join the Un-carrier movement. The company delivered 7 million total net additions, our sixth consecutive year with more than 5 million. In addition, the company added 4.9 million branded customer additions, our sixth year in a row with more than 4 million. T-Mobile led the industry, once again, with a total of 3.1 million branded postpaid phone net customer additions, further illustrating our ability to compete and take share in a competitive marketplace. And not only have customers chosen to join the Un-carrier movement—theyʼre staying longer than ever before, as refl ected by our low branded postpaid phone churn. In total, approximately 53 million customers have joined T-Mobile since the launch of the Un-carrier in 2013. Weʼll continue forward with our customer- experience obsession, determined to bring the Un-carrier to every potential customer in the United States. T-Mobile’s 2019 full-year fi nancial performance proved that putting customers fi rst is also benefi cial to stockholders. Once again we successfully translated strong customer growth into record fi nancial performance—including industry-leading Service Revenue percentage growth, as well as record Total Revenues, strong Net Cash Provided by Operating Activities, and record Free Cash Flow. All the while continuing our virtuous circle of translating strong customer growth into revenue growth and using those profi ts to further invest back into our customers. It’s a win-win!. In 2019 we increased our retail store footprint by 1 million people, and now cover more than 270 million people nationwide with our T- Mobile and Metro by T-Mobile stores, allowing even more customers to join the Un-carrier revolution! Customers have been so satisfi ed with our store experience that T-Mobile received record-breaking customer satisfaction scores, with an all-time-high Net Promoter Score of 82 for full-year 2019. In addition, in August 2019 T-Mobile received the number-one spot according to the J.D. Power 2019 U.S. Wireless

Purchase Experience Full-Service Performance Study—Volume 2. This was our fourth consecutive win in delivering the best customer experience in our branded retail stores, leading the fullservice wireless industry for two straight years!.
