MID-TERM ASSIGNMENT

Task details:

• This is an individual assignment.

• You are asked to write an essay, proving answers to all the questions specified below (see page 2). Make sure you are providing sufficient and relevant

legal arguments sustaining your answers. When using real case example(s) in support of your standpoint, there should be a clear reference to that/those

case(s).

• All the sources should be correctly cited, and the legal grounds clearly identified.

• The essay should contain introduction, body(discussion) and conclusion parts. Questions must be answered in an essay format, no bullet points allowed.

• The submission must be in PDF file format.

Formalities:

• Wordcount: 1000 to 1500 words

• Structure: Cover, Table of Contents, References and Appendix are excluded of the total wordcount.

• Font: Arial 11 pts.

• Text alignment: Justified.

• Citation: The in-text References and the Bibliography must be in Harvard’s citation style.

Submission: Week 7 – Via Moodle (Turnitin). Due before 14 March 2021 at 23:59.

Weight: This task is 35% of your total grade for this subject.

It assesses the following learning outcomes:

• Outcome 1: Understand legal duties imposed on directors and managers of a company.

• Outcome 2: Evaluate potentially risky situations and develop prevention mechanisms.

• Outcome 3: Learn how to identify the breach of those duties and the consequences.

Task:

Ferguson Foods is a food processing company. In the past year, three directors were forced to leave Ferguson Foods after it was discovered the directors breached then legal duties to the company. Two of the directors were also managers of the corporation. The chairman of the board at Ferguson Foods is concerned that the remaining directors do not understand their legal duties to the company and that new directors will not understand their duties either.

You are the chief executive officer (CEO) of the company. The chairman of the board asked you to work with the company’s legal counsel to make a company policy document for directors and managers about their legal duties to the company, completing the following task:

• Legal Duties:

➢ explain the legal duties of directors and managers to the company.

• Compliance:

➢ discuss the benefits of compliance for Ferguson Foods; ➢ consequences of non-compliance; ➢ analyze how unethical activity by a director or manager can lead to a violation of a legal duty owed to the company.

• Real case:

➢ provide a brief example (as a source you can use a news article or court decision) within the last 10 years that demonstrates corporate director or manager liability.
