Draft a  clause which could be part of a contract.  The clause should be regarding one of the following topics:

• Dispute Resolution Clause
• Intellectual Property Clause regarding either ownership of IP or Trade Secrets

 Write a 700- to 1,050-word paper including the following:

• Discuss the elements necessary to form a valid contract using the contract clause as an example.
• Explain the legal issues addressed by your selected topic/clause and how your contract clause can be applied within a business managerial setting.
• Summarize the potential legal defenses available to contract formation.
• Evaluate the potential remedies for breach of contract that might be available is someone breached the contract you created.

Cite to at least three scholarly sources.  Scholarly references are written by scholars or professionals who are experts in their fields. It does not include the class syllabus, Wikipedia, dictionaries, encyclopedias, eHow and similar sources.
