1) Corporate Law

A corporation is an artificial person created by statute.  Discuss the different types of of corporations.  A corporation has the same constitutional protections as an individual with the exception of what fifth amendment privilege?  Why might a corporation want to try to invoke that privilege?  What is the difference between a promoter and an incorporator?  What are the fiduciary obligations and potential liabilities of a promoter?

2) Agencies

What is the nature of an administrative agency?  Discuss why administrative agencies are important.  List the unique qualities of administrative agencies.  Describe the open nature of the records and work of administrative agencies.
