Arbitrability can be achieved through a collective Bargain agreement (CBA), which is a legal written contract between two parties or the business owners and the union that represents the workforce. This means that Collective Bargain Agreement is a process used to negotiate the working conditions of employees. Arbitration is a procedure where disputes are presented through party’s agreements, to or more arbitrators by formulating a binding decision on the dispute. An independent, impartial third party method is used by the parties in dispute to solve their problems. Therefore arbitrability can be termed as a process that enables parties to find solutions to questions of whether a subject matter of a claim is or not reserved in domestic courts.
In this assignment, I will base on a healthcare organization in particular CVS Pharmacy, Inc. whereby the organization at times suffers from some challenges in terms of wages, working hours, promotions, transfers, and working terms and conditions. CVS Pharmacy, Inc. is a leading drugstore and pharmacy chain with more than 4000 stores across the United States of America (USA). Though the organization formulated to have trade unions to advocate for these matters, the dispute may arise between the trade union and the state or state entities and may require to come up with a Corrective Bargaining Agreement (CBA) which is defined in the labor relations Act. It may not be particularly presented in law, but they are the essential context that can be fulfilled before the bargaining procedure begins. The requirements for this are that the trade unions are required to be legally recognized in law and are duly registered by having a constitutional jurisdiction.
The argument must be united either be in charge of the employer; national secretary, representative of an employer organization, and the duration span depending on the CBA agreement. Healthcare disputes are arbitrable as mostly the subject matter doesn’t involve criminal laws and the notion of arbitrability can be obtained in the article (ii) paragraph 1 of 1958 convention of recognition and enforcement of foreign arbitrable awards. This act expounds that the contracting states should acknowledge the agreement in writing. For instance, the words used in arbitrability for the healthcare organization between the employee and employer (state) is that consuming the subject matter, the terms and conditions for the work are that the dispute is arbitrable i.e. capable of being settled outside court jurisdiction being a private proceeding. The recognition and enforcement may have an impact on the parties involved.
The CVs Pharmacy Inc. contract is an agreement for promotion, fulfillment, and distribution of CVs Health Savings Pass. Some of the obligations and express of CVs contract include offering the programs (with membership cards) for sale at the counter, advertising and promoting the program, collecting funds from the members for in-store programs applications completed at pharmacy locations, and handling all clinical related questions from the consumers.
Currently, the CVs Caremark, the Pharmacy Benefit Manager (PBM) of the CVs health has announced a larger contract with the government-wide service benefits plan (federal employee program), which has enhanced the benefits to the federal employees for more than 50 years and covers 5.5 million employees, retirees, and their families. CVs Health has acted as the Pharmacy Benefit Manager for this service benefit plan since 1993 and through its collaboration, it has ensured pharmacy services required by members are provided and evolved. The new contract will be effective from January 1, 2022. CVs Health contract has regained the specialty pharmacy business that has been inactive since 2018 while retaining the email, retail, and clinical pharmacy service in the current contract. With this, CVs Health contract will be able to deliver greater cost savings and better cure to the service benefit plan and its members with specialty once again integrated with pharmacy services.
