Discussion Board 3 Abstract Starting a new business has many stipulations with many pros and cons included. However, Shania Jackson need advising on her business goals along with recommendations added. To provide and assist Shania accurately, I have looked at the case study to answer the four questions listed below, with careful examination to help Shania fulfil her future endeavours.
Introduction
Completing a business plan is necessary to operate and run an effectively yet efficient business. The plan is included to help an individual accomplish their goals during the process. Shania is a Christian and wants to open a Christian coffeehouse near Denver, Colorado. Shania sister Kelsey is a new Christian and want to be part of the business, and Shania neighbour Carlos is a non- believer and have expressed an interest in participating in the business. She wants to name the business “The Gathering Place”. Shania options to own her franchise or a jointly venture. Before Shania indulge in starting a new business, options should be thought through before deciding. The opportunity to start a new business should be very exciting for Shania and the right to select how your business functions is the added benefits.
Advise Shania on which of the business forms under consideration best accomplishes her business goals. Thoroughly explain the reasons for your recommendation. Shania is a Christian but husband Marvin is not, he only wants to contribute to her business but do not want to be a part of it. I think sole proprietorship will align closely with her business goals. The reason why I recommend this particular business form is because I differentiate between limited partnership and sole proprietor: “Limited liability is a concept whereby a person's financial liability is limited to a fixed sum, most commonly the value of a person's investment in a company or partnership with limited liability. In other words, if a company with limited liability is sued, then the plaintiffs are suing the company, not its owners or investors. A shareholder in a limited company is not personally liable for any of the debts of the company, other than for the value of his investment in that company. This usually takes the form of that person's dividends in the company being zero, since the company has no profits to allocate” (Khurama, V. K., & Mittal, S. K. 2014). I recommend Shania to use sole proprietorship this creates the opportunity to do what she want in her own business and to partner or hire others if decided upon.
Advise Shania on whether her company should become a franchise or should open as an independent coffeehouse. Explain your recommendation. “If you decide to go into business on your own, you are creating a sole proprietorship, a business organization in which you, as the sole proprietor, are in sole control of the management and the profits and losses” (Kubasek, Browne, Herron, Dhooge, & Barkacs, p. 462). For this reason, I think Shania should go in the direction of choosing her independent coffeehouse. Franchises has certain stipulations and agreement to adhere to. Shania has the right to do whatever she wants in her own business.
Perform a corporate name search at this website to determine if the name Shania is considering is available for use in the State of Colorado. Also assess whether the name is available as a trademark. Even if the name is available, advise Shania on whether it is a good choice. Explain why or why not. "The Gathering Place” that Shania is considering is already taken. “The trademark plays an important role for the company as a major asset” (Sichel, D. L. 2017). Although the trademark is taken, Shania have to be really careful with selecting the name if she chooses to do due to legal laws and regulations. Shania products and services should not be similar of others and I would recommend she come up with a name that is different to distinguish from. “Various tools are available to lawyers and courts to compare the appearance, sounds, and meanings of trademarks” (Gurnick, D. 2016). Similarities of trademarks can cause problems; legal actions can be pursued upon. I recommend Shania to decide on a name that is not taken and move forward to get the trademark registered for protection.
