The directors present their report, together with the financial statements, on the consolidated entity (referred to hereafter as the 'consolidated entity') consisting of Argo Exploration Limited (referred to hereafter as the 'company' or 'parent entity') and the entities it controlled at the end of, or during, the year ended 30 June 2023. Directors The following persons were directors of Argo Exploration Limited during the whole of the financial year and up to the date of this report, unless otherwise stated: Mr Andrew Van Der Zwan (Non-Executive Director) Mr Justin Hondris (Non-Executive Director) Mr Christopher Martin (Non-Executive Director) Principal activities During the year ended 30 June 2023 the consolidated entity's principal activities consisted of reviewing potential investments in exploration and development of resource and management of the company's investments. Dividends There were no dividends paid, recommended or declared during the current or previous financial year. Review of operations The loss for the consolidated entity after providing for income tax amounted to $7,353,337 (30 June 2022: profit of $4,703,515). Included in the loss after income tax for the year is a non-cash, fair value adjustment of ($7,109,275) relating to the decrease in the carrying amount of the consolidated entity's investment in Pantheon Resources plc (30 June 2022: FV gain of $4,940,626), which consists of a ($7,417,836) unrealised loss on the carrying amount of the investment and a $308,561 realised gain, as a result of shares sold during the year. The net assets of the consolidated entity decreased by $7,353,337 to $1,414,923 as at 30 June 2023 (30 June 2022: $8,768,260) and its working capital, being current assets less current liabilities decreased by $7,353,337 to $1,414,923 (30 June 2022: $8,768,260). The closing cash balance as at 30 June 2023 amounted to $294,738 (30 June 2022: $89,035) At 30 June 2023 the consolidated entity holds 6,500,000 shares (30 June 2022: 6,000,000) in AIM Listed Oil & Gas Explorer Pantheon Resources plc (“Pantheon”), representing 0.77% of the issued ordinary capital in Pantheon. Pantheon is an AIM listed oil and gas company with a 100% working interest in a number of high impact appraisal and exploration assets spanning over 193,000 acres located on the Alaska North Slope, onshore USA. Pantheon’s projects are advantageously located immediately adjacent to Alaska’s primary oil transportation infrastructure, being the Trans Alaska Pipeline System (“TAPS”) and the Dalton Highway, offering it tremendous advantages in terms of cost, logistics and shorter potential development horizons compared to all other undeveloped projects on the Alaska North Slope. In December 2023 Pantheon announced it had been awarded a further 66,240 acres in the 2023 lease sales. The new acres represent the completion of Pantheon’s multi year leasing programme. The period from 1 July 2022 to 30 June 2023, and the period beyond was one of great achievement for Pantheon, although it was not without its challenges. During the year SLB (previously Schlumberger) completed Phase 1 of their reservoir modelling project, estimating Pantheon’s acreage to contain 17.8 billion barrels of oil in place. Netherland Sewell & Associates completed an Independent Expert Report on the Kodiak project, estimating a 2C Contingent Resource of 962.5 million barrels of marketable liquids. The Alkaid-2 well encountered issues during testing, however analysis now confirms that Alkaid-2 supports the case for economic viability of full field developments of Pantheon’s projects. Pantheon provided an updated corporate strategy with an objective to deliver financial self-sufficiency and a sustainable recognition of a value of $5 - $10 per barrel of 1C/1P recoverable resources by 2028. Risks and uncertainties The Company is subject to risks that are specific to the Company and the Company’s business activities, as well as general risks.

Future funding risks Whilst the Company has a cash and cash equivalents balance of $294,738 and net assets of $1,414,923 and is able to continue on a going concern basis, there is a risk that the Company may require substantial additional financing in the future to sufficiently fund any potential exploration and development resource acquisition in addition to general working capital needs and any other longer-term objectives. The Company has the ability to maintain its liquidity through the sale of investments held at Pantheon Resources plc (“Pantheon” AIM Code: “PANR”) in conjunction with the ability to control the level of its current operations and hence the level of its expenditure over the next 12 months. Management is confident that they can manage the level of expenditure in order to maintain an appropriate liquidity level. The Company’s ability to raise additional funding either through the sale of its shares in Pantheon or through capital financing will be subject to, among other things, factors beyond the control of the Company and its Directors, including cyclical factors affecting the economy and share markets generally. If for any reason the Company was unable to raise future funds when required, its operations could be significantly affected. The Directors regularly review the spending pattern and ability to raise additional funding to ensure the Company’s ability to generate sufficient cash inflows to settle its creditors and other liabilities. Financial asset investments risks The Company’s main asset is its investment in AIM-listed Pantheon Resources plc (“Pantheon” AIM Code: “PANR”). The stock market, and in particular, the market for mining explorers, has experienced extreme price and volume fluctuations that have often been unrelated or disproportionate to the operating performance of such companies. The price at which the Shares are quoted on AIM may increase or decrease due to a number of factors outside Pantheon’s control and which are not explained by the fundamental operations and activities of Pantheon, including unpredictable influences on the market for securities in general and mining exploration stocks in particular. These factors may materially affect the market price of the Shares, regardless of Pantheon’s operational performance. As a result, these factors may materially impact the carrying value of Financial assets held by the Company. The Directors regularly review the carrying value of the Company’s Financial assets, including regularly monitoring Pantheon’s performance via its announcements platform, general global market conditions, and macro-economic conditions. Taxation risks Changes in tax law, or changes in the way tax laws are interpreted may impact the tax liabilities of the Company, Shareholder returns, or the tax treatment of a Shareholder’s investment. In particular, both the level and basis of taxation may change. Tax law is frequently being changed, both prospectively and retrospectively. Any actual or alleged failure to comply with, or any change in the application or interpretation of tax rules applied in respect of such transactions, may increase the Company’s tax liabilities. The Company utilises expert consultants in relation to taxation in order to determine appropriate taxation treatment. IT system failure and cyber security risks Any information technology system is potentially vulnerable to interruption and/or damage from a number of sources, including but not limited to computer viruses, cyber security attacks and other security breaches, power, systems, internet and data network failures, and natural disasters. The Company is committed to preventing and reducing cyber security risks through outsourced IT management to a reputable services provider. Significant changes in the state of affairs On 18 August 2022, the company sold 500,000 fully paid ordinary shares in its listed investment for $1,096,782, Pantheon Resources Plc (Pantheon), to fund general working capital. Pursuant to Company policy, Mr Hondris was excluded from all discussions regarding this sale and accordingly provided no input, advice or opinion on the transaction, and was only informed of the transaction after the transaction had occurred. On 16 May 2023, the Company purchased 1,000,000 fully paid ordinary shares in its listed investment, Pantheon Resources Plc (Pantheon) for $321,027 (USD $212,423.50). There were no other significant changes in the state of affairs of the consolidated entity during the financial year.

Matters subsequent to the end of the financial half-year On 8 September 2023, the company sold 500,000 fully paid ordinary shares in its listed investment for $234,555, Pantheon Resources Plc (Pantheon), to fund general working capital. Pursuant to Company policy, Mr Hondris was excluded from all discussions regarding this sale and accordingly provided no input, advice or opinion on the transaction, and was only informed of the transaction after the transaction had occurred. As at 19 March 2024, the fair value of the investment in Pantheon Resources Plc was $3,153,097, an increase in value since 30 June 2023 of $1,579,477. No other matter or circumstance has arisen since 30 June 2023 that has significantly affected, or may significantly affect the consolidated entity's operations, the results of those operations, or the consolidated entity's state of affairs in future financial years. Likely developments and expected results of operations The consolidated entity will continue to explore mineral resource opportunities and funding opportunities in the future as well as continuing to manage its investment in Pantheon Resources Plc to add value. Environmental regulation The company currently has no exploration interests; however, it had previously held participating interests in a number of mining and explorations tenements. Given the nature of the Consolidated Entity's current operations, the Directors are not aware of any breaches of mining and environmental regulations and legislations during the financial year. Information on directors Name: Mr Christopher Martin Title: Non-Executive Director Qualifications: BBus, Banking & Finance Experience and expertise: Mr Martin has a Bachelor of Business (Banking & Finance), and over 20 years'

experience in the equities markets. He has acted as an independent Consultant to Argo Exploration Ltd since its inception.

capital markets and private equity in both Australia and Europe. He is a director of Pantheon Resources Plc (AIM listed).

Special responsibilities: Chair of Audit Committee Name: Mr Andrew Van Der Zwan Title: Non-Executive Director Qualifications: BA Chemical Engineering (with Honours) Experience and expertise: Andrew has 29 years' engineering and commercial experience, both locally and

internationally. He was a Non-Executive Director of Gulfx Ltd for 2 years, Managing Director of MRG Metals for 2 years and remains on the Board of MRG today. He was employed in various senior positions within the worldwide operations of Exxon Mobil for 18 years.

Company secretary Mr Stefan Ross – BBus (Acc) (appointed on 27 October 2023) Mr Ross has over 10 years of experience in accounting and secretarial services for ASX listed companies. His extensive experience includes ASX compliance, corporate governance control and implementation, statutory financial reporting, shareholder meeting requirements, capital raising management, and board and secretarial support. Stefan has a Bachelor of Business majoring in Accounting.

Ms Melanie Leydin – BBus (Acc. Corp Law) CA FGIA (resigned on 27 October 2023) Melanie Leydin has over 30 years’ experience in the accounting profession and over 20 years’ experience as a Company Director, including as nominated Company Secretary of ASX listed entities. She has extensive experience in relation to public company responsibilities, including ASX and ASIC compliance, control and implementation of corporate governance, statutory financial reporting, reorganisation of Companies, initial public offerings, secondary raisings and shareholder relations. Melanie hold a Bachelor of Business majoring in Accounting and Corporate Law. She is a Member of the Institute of Chartered Accountants, and a Fellow of the Governance Institute of Australia and is a Registered Company Auditor. Melanie founded and was principal of a renowned Australian professional services firm from February 2000. In November 2021 Vistra Group acquired that business and Melanie is now Vistra Australia’s Managing Director. Meetings of directors There were no meetings of directors held during the year ended 30 June 2023. Shares under option There were no unissued ordinary shares of Argo Exploration Limited under option outstanding at the date of this report. Shares under performance rights There were no unissued ordinary shares of Argo Exploration Limited under performance rights outstanding at the date of this report. Shares issued on the exercise of options There were no ordinary shares of Argo Exploration Limited issued on the exercise of options during the year ended 30 June 2023 and up to the date of this report. Indemnity and insurance of officers The company has indemnified the directors of the company for costs incurred, in their capacity as a director, for which they may be held personally liable, except where there is a lack of good faith. During the financial year, the company paid a premium in respect of a contract to insure the directors of the company against a liability to the extent permitted by the Corporations Act 2001. The contract of insurance prohibits disclosure of the nature of liability and the amount of the premium. Indemnity and insurance of auditor The company has not otherwise, during or since the financial year, indemnified or agreed to indemnify the auditor of the company or any related entity against a liability incurred by the auditor. During the financial year, the company has not paid a premium in respect of a contract to insure the auditor of the company or any related entity. Proceedings on behalf of the company No person has applied to the Court under section 237 of the Corporations Act 2001 for leave to bring proceedings on behalf of the company, or to intervene in any proceedings to which the company is a party for the purpose of taking responsibility on behalf of the company for all or part of those proceedings. Non-audit services There were no no-audit services provided during the financial year by the auditors. Auditor's independence declaration A copy of the auditor's independence declaration as required under section 307C of the Corporations Act 2001 is set out on page 7. Auditor Grant Thornton Audit Pty Ltd continues in office in accordance with section 327 of the Corporations Act 2001.

Note 1. General information The financial statements cover Argo Exploration Limited as a consolidated entity consisting of Argo Exploration Limited and the entities it controlled at the end of, or during, the year. The financial statements are presented in Australian dollars, which is Argo Exploration Limited's functional and presentation currency. Argo Exploration Limited is an unlisted public company limited by shares, incorporated and domiciled in Australia. Its registered office and principal place of business is: Level 4 96-100 Albert Road South Melbourne VIC 3205 A description of the nature of the consolidated entity's operations and its principal activities are included in the directors' report, which is not part of the financial statements. The financial statements were authorised for issue, in accordance with a resolution of directors, on 20 March 2024. The directors have the power to amend and reissue the financial statements. Note 2. Significant accounting policies The principal accounting policies adopted in the preparation of the financial statements are set out either in the respective notes or below. These policies have been consistently applied to all the years presented, unless otherwise stated. New or amended Accounting Standards and Interpretations adopted The consolidated entity has adopted all of the new, revised or amending Accounting Standards and Interpretations issued by the Australian Accounting Standards Board ('AASB') that are mandatory for the current reporting period. The new, revised or amending Accounting Standards and Interpretations adopted do not have a material effect on the consolidated entity. Basis of preparation These general purpose financial statements have been prepared in accordance with Australian Accounting Standards and Interpretations issued by the Australian Accounting Standards Board ('AASB') and the Corporations Act 2001, as appropriate for for-profit oriented entities. These financial statements also comply with International Financial Reporting Standards as issued by the International Accounting Standards Board ('IASB'). Historical cost convention The financial statements have been prepared under the historical cost convention, except for, where applicable, the revaluation of financial assets and liabilities at fair value through profit or loss, financial assets at fair value through other comprehensive income, investment properties, certain classes of property, plant and equipment and derivative financial instruments. Critical accounting estimates The preparation of the financial statements requires the use of certain critical accounting estimates. It also requires management to exercise its judgement in the process of applying the consolidated entity's accounting policies. The areas involving a higher degree of judgement or complexity, or areas where assumptions and estimates are significant to the financial statements, are disclosed in note 3.

Going Concern During the year ended, the consolidated entity incurred net operating cash outflows of $570,052 (30 June 2022:167,807) and had a closing cash balance of $294,738 at 30 June 2023. The financial report has been prepared on the going concern basis, which contemplates continuity of normal business activities and realisation of assets and settlement of liabilities in the ordinary course of business. The going concern of the consolidated entity is dependent upon it maintaining sufficient funds for its operations and commitments. The Directors continue to monitor the ongoing funding requirements of the consolidated entity. The consolidated entity has the option to liquidate partially or its entire position in Pantheon Resources Plc which it has done as required in the year ended 30 June 2023, raising approximately $1,096,782 for working capital purposes. As at 30 June 2023, the consolidated entity's investment in Pantheon Resources Plc was carried at its market value of $1,573,619 (30 June 2022: $9,458,649). Subsequent to 30 June 2023, the fair value of the investment in Pantheon Resources Plc (LSE:PANR.L) has increased to $3,153,097, as at 19 March 2024. This is an increase of $1,579,477 since 30 June 2023. The ability of the Company to continue as a going concern is dependent on the Company maintaining its position in Pantheon Resources Plc and the share price performance of Pantheon Resources plc. If the Company was to liquidate its entire position in Pantheon Resources then the Company may seek to return capital to its shareholders and revaluate the continuing operations of the Company or may continue to assess other opportunities if relevant. As a result of these matters there is a material uncertainty that may cast significant doubt upon the group’s ability to continue as a going concern and therefore whether the group will realise its assets and settle its liabilities in the ordinary course of business at the amounts recorded in the financial statements. However, this will depend on the future activities and share price of Pantheon and the Directors have no confirmed plans to do so at the time of this report. Accordingly, the directors believe the Company will be able to continue as a going concern and therefore, these financial statements do not include any adjustments relating to the recoverability and classification of recorded asset amounts, or to the amounts and classification of liabilities that might be necessary should the Company not continue as a going concern. Parent entity information In accordance with the Corporations Act 2001, these financial statements present the results of the consolidated entity only. Supplementary information about the parent entity is disclosed in Note 20. Principles of consolidation The consolidated financial statements incorporate the assets and liabilities of all subsidiaries of Argo Exploration Limited ('company' or 'parent entity') as at 30 June 2023 and the results of all subsidiaries for the year then ended. Argo Exploration Limited and its subsidiaries together are referred to in these financial statements as the 'consolidated entity'. Subsidiaries are all those entities over which the consolidated entity has control. The consolidated entity controls an entity when the consolidated entity is exposed to, or has rights to, variable returns from its involvement with the entity and has the ability to affect those returns through its power to direct the activities of the entity. Subsidiaries are fully consolidated from the date on which control is transferred to the consolidated entity. They are de-consolidated from the date that control ceases. Intercompany transactions, balances and unrealised gains on transactions between entities in the consolidated entity are eliminated. Unrealised losses are also eliminated unless the transaction provides evidence of the impairment of the asset transferred. Accounting policies of subsidiaries have been changed where necessary to ensure consistency with the policies adopted by the consolidated entity. The acquisition of subsidiaries is accounted for using the acquisition method of accounting. A change in ownership interest, without the loss of control, is accounted for as an equity transaction, where the difference between the consideration transferred and the book value of the share of the non-controlling interest acquired is recognised directly in equity attributable to the parent.

Where the consolidated entity loses control over a subsidiary, it derecognises the assets including goodwill, liabilities and non- controlling interest in the subsidiary together with any cumulative translation differences recognised in equity. The consolidated entity recognises the fair value of the consideration received and the fair value of any investment retained together with any gain or loss in profit or loss. Interest Interest revenue is recognised as interest accrues using the effective interest method. This is a method of calculating the amortised cost of a financial asset and allocating the interest income over the relevant period using the effective interest rate, which is the rate that exactly discounts estimated future cash receipts through the expected life of the financial asset to the net carrying amount of the financial asset. Income tax The income tax expense or benefit for the period is the tax payable on that period's taxable income based on the applicable income tax rate for each jurisdiction, adjusted by the changes in deferred tax assets and liabilities attributable to temporary differences, unused tax losses and the adjustment recognised for prior periods, where applicable. Deferred tax assets and liabilities are recognised for temporary differences at the tax rates expected to be applied when the assets are recovered or liabilities are settled, based on those tax rates that are enacted or substantively enacted, except for: ● When the deferred income tax asset or liability arises from the initial recognition of goodwill or an asset or liability in a

transaction that is not a business combination and that, at the time of the transaction, affects neither the accounting nor taxable profits; or

● When the taxable temporary difference is associated with interests in subsidiaries, associates or joint ventures, and the timing of the reversal can be controlled and it is probable that the temporary difference will not reverse in the foreseeable future.

Deferred tax assets are recognised for deductible temporary differences and unused tax losses only if it is probable that future taxable amounts will be available to utilise those temporary differences and losses. The carrying amount of recognised and unrecognised deferred tax assets are reviewed at each reporting date. Deferred tax assets recognised are reduced to the extent that it is no longer probable that future taxable profits will be available for the carrying amount to be recovered. Previously unrecognised deferred tax assets are recognised to the extent that it is probable that there are future taxable profits available to recover the asset. Investments and other financial assets Investments and other financial assets are initially measured at fair value. Transaction costs are included as part of the initial measurement, except for financial assets at fair value through profit or loss. Such assets are subsequently measured at either amortised cost or fair value depending on their classification. Classification is determined based on both the business model within which such assets are held and the contractual cash flow characteristics of the financial asset unless an accounting mismatch is being avoided. Financial assets are derecognised when the rights to receive cash flows have expired or have been transferred and the consolidated entity has transferred substantially all the risks and rewards of ownership. When there is no reasonable expectation of recovering part or all of a financial asset, its carrying value is written off. Financial assets at fair value through profit or loss Financial assets not measured at amortised cost or at fair value through other comprehensive income are classified as financial assets at fair value through profit or loss. Typically, such financial assets will be either: (i) held for trading, where they are acquired for the purpose of selling in the short-term with an intention of making a profit, or a derivative; or (ii) designated as such upon initial recognition where permitted. Fair value movements are recognised in profit or loss. Impairment of financial assets The consolidated entity recognises a loss allowance for expected credit losses on financial assets which are either measured at amortised cost or fair value through other comprehensive income. The measurement of the loss allowance depends upon the consolidated entity's assessment at the end of each reporting period as to whether the financial instrument's credit risk has increased significantly since initial recognition, based on reasonable and supportable information that is available, without undue cost or effort to obtain.

Where there has not been a significant increase in exposure to credit risk since initial recognition, a 12-month expected credit loss allowance is estimated. This represents a portion of the asset's lifetime expected credit losses that is attributable to a default event that is possible within the next 12 months. Where a financial asset has become credit impaired or where it is determined that credit risk has increased significantly, the loss allowance is based on the asset's lifetime expected credit losses. The amount of expected credit loss recognised is measured on the basis of the probability weighted present value of anticipated cash shortfalls over the life of the instrument discounted at the original effective interest rate. For financial assets mandatorily measured at fair value through other comprehensive income, the loss allowance is recognised in other comprehensive income with a corresponding expense through profit or loss. In all other cases, the loss allowance reduces the asset's carrying value with a corresponding expense through profit or loss. The amount of the impairment allowance for financial assets carried at cost is the difference between the asset's carrying amount and the present value of estimated future cash flows, discounted at the current market rate of return for similar financial assets. Impairment does not apply to financial assets at fair value through profit or loss. Rounding of amounts Argo Exploration Limited is a type of company that is referred to in ASIC Corporations (Rounding in Financial/Directors’ Reports) Instrument 2016/191 and therefore the amounts contained in this report and in the financial report have been rounded to the nearest dollar. Note 3. Critical accounting judgements, estimates and assumptions The preparation of the financial statements requires management to make judgements, estimates and assumptions that affect the reported amounts in the financial statements. Management continually evaluates its judgements and estimates in relation to assets, liabilities, contingent liabilities, revenue and expenses. Management bases its judgements, estimates and assumptions on historical experience and on other various factors, including expectations of future events, management believes to be reasonable under the circumstances. The resulting accounting judgements and estimates will seldom equal the related actual results. The judgements, estimates and assumptions that have a significant risk of causing a material adjustment to the carrying amounts of assets and liabilities (refer to the respective notes) within the next financial year are discussed below. Income tax The consolidated entity is subject to income taxes in the jurisdictions in which it operates. Significant judgement is required in determining the provision for income tax. There are many transactions and calculations undertaken during the ordinary course of business for which the ultimate tax determination is uncertain. The consolidated entity recognises liabilities for anticipated tax audit issues based on the consolidated entity's current understanding of the tax law. Where the final tax outcome of these matters is different from the carrying amounts, such differences will impact the current and deferred tax provisions in the period in which such determination is made. Recovery of deferred tax assets Deferred tax assets are recognised for deductible temporary differences only if the consolidated entity considers it is probable that future taxable amounts will be available to utilise those temporary differences and losses. Deferred tax assets of $2,402,802 have been recognised in relation to the carry forward tax losses of the entity, to extent they are offset by the likely deferred tax liability on the gain on the Pantheon Resources investment. Deferred tax balances have been derecognised during the year ended 30 June 2023 as there is no Deferred Tax liability on the gain of investment due to a decrease in the share price of Pantheon Resources Plc. Incorrect tax rates In the previous financial year, the financial statements have incorrectly disclosed the income tax details as the tax rate for the company was incorrectly applied. Note 10. Financial instruments Financial risk management objectives The consolidated entity's activities expose it to a variety of financial risks: market risk (including foreign currency risk, price risk and interest rate risk), credit risk and liquidity risk. The consolidated entity's overall risk management program focuses on the unpredictability of financial markets and seeks to minimise potential adverse effects on the financial performance of the consolidated entity. The consolidated entity uses different methods to measure different types of risk to which it is exposed. These methods include sensitivity analysis in the case of interest rate, foreign exchange and other price risks, ageing analysis for credit risk and beta analysis in respect of investment portfolios to determine market risk. Risk management is carried out by senior finance executives ('finance') under policies approved by the Board of Directors ('the Board'). These policies include identification and analysis of the risk exposure of the consolidated entity and appropriate procedures, controls and risk limits. Finance identifies, evaluates and hedges financial risks within the consolidated entity's operating units. Finance reports to the Board on a monthly basis. Market risk Foreign currency risk The consolidated entity undertakes certain transactions denominated in foreign currency and is exposed to foreign currency risk through foreign exchange rate fluctuations. Foreign exchange risk arises from future commercial transactions and recognised financial assets and financial liabilities denominated in a currency that is not the entity's functional currency. The risk is measured using sensitivity analysis and cash flow forecasting. For recurring and non-recurring fair value measurements, external valuers may be used when internal expertise is either not available or when the valuation is deemed to be significant. External valuers are selected based on market knowledge and reputation. Argo Exploration Limited acquired a shareholding in Pantheon of 7 million shares during the reporting period ended 30 June 2010 and at the time of writing Argo retains a shareholding of 6 million Pantheon shares. This shareholding in Pantheon remains Argo’s principal asset. Mr Hondris was and continues to be excluded from all matters concerning the investment in Pantheon. This included decision making, analysis and voting on the acquisition of the original investment in Pantheon. Additionally, Mr Hondris will continue to be excluded from future decisions relating to purchases or disposals of shares in Pantheon by Argo. At a personal level, Mr Hondris continues to be restricted in his ability to acquire or dispose of shares in Argo. Mr Hondris has never disposed of any shares in Argo. Deed of cross guarantee The following entities are party to a deed of cross guarantee under which each company guarantees the debts of the others: Argo Exploration Limited Olympic Resources Limited By entering into the deed, the wholly-owned entities have been relieved from the requirement to prepare financial statements and directors' report under ASIC Corporations (Wholly-owned Companies) Instrument 2016/785 issued by the Australian Securities and Investments Commission. The above companies represent a 'Closed Group' for the purposes of the Corporations Instrument, and as there are no other parties to the deed of cross guarantee that are controlled by Argo Exploration Limited, they also represent the 'Extended Closed Group'. The statement of profit or loss and other comprehensive income and statement of financial position are substantially the same as the consolidated entity and therefore have not been separately disclosed. Note 20. Events after the reporting period On 8 September 2023, the company sold 500,000 fully paid ordinary shares in its listed investment for $234,555, Pantheon Resources Plc (Pantheon), to fund general working capital. Pursuant to Company policy, Mr Hondris was excluded from all discussions regarding this sale and accordingly provided no input, advice or opinion on the transaction, and was only informed of the transaction after the transaction had occurred. As at 19 March 2024, the fair value of the investment in Pantheon Resources Plc was $3,153,097, an increase in value since 30 June 2023 of $1,579,477. No other matter or circumstance has arisen since 30 June 2023 that has significantly affected, or may significantly affect the consolidated entity's operations, the results of those operations, or the consolidated entity's state of affairs in future financial years.

Report on the audit of the financial report

Opinion

We have audited the financial report of Argo Exploration Limited (the Company) and its subsidiaries (the

Group), which comprises the consolidated statement of financial position as at 30 June 2023, the

consolidated statement of profit or loss and other comprehensive income, consolidated statement of

changes in equity and consolidated statement of cash flows for the year then ended, and notes to the

consolidated financial statements, including a summary of significant accounting policies, and the Directors’

declaration.

In our opinion, the accompanying financial report of the Group is in accordance with the Corporations Act

2001, including:

a giving a true and fair view of the Group’s financial position as at 30 June 2023 and of its performance for

the year ended on that date; and

b complying with Australian Accounting Standards and the Corporations Regulations 2001.

Basis for opinion

We conducted our audit in accordance with Australian Auditing Standards. Our responsibilities under those

standards are further described in the Auditor’s Responsibilities for the Audit of the Financial Report section

of our report. We are independent of the Group in accordance with the Corporations Act 2001 and the

ethical requirements of the Accounting Professional and Ethical Standards Board’s APES 110 Code of

Ethics for Professional Accountants (including Independence Standards) (the Code) that are relevant to our

audit of the financial report in Australia. We have also fulfilled our other ethical responsibilities in accordance

with the Code.

We believe that the audit evidence we have obtained is sufficient and appropriate to provide a basis for our

opinion.

Material uncertainty related to going concern

We draw attention to Note 2 in the financial statements, which indicates that the Group had net operating cash

outflows of $570,052 during the year and had a closing cash balance of $294,738 at 30 June 2023. As stated in

Note 2, these events or conditions, along with other matters as set forth in Note 2, indicate that a material

uncertainty exists that may cast significant doubt on the Group’s ability to continue as a going concern. Our

opinion is not modified in respect of this matter.

Information other than the financial report and auditor’s report thereon

The Directors are responsible for the other information. The other information comprises the information included

in the Group’s annual report for the year ended 30 June 2023, but does not include the financial report and our

auditor’s report thereon.

Our opinion on the financial report does not cover the other information and accordingly we do not express any

form of assurance conclusion thereon.

In connection with our audit of the financial report, our responsibility is to read the other information and, in doing

so, consider whether the other information is materially inconsistent with the financial report or our knowledge

obtained in the audit or otherwise appears to be materially misstated.

If, based on the work we have performed, we conclude that there is a material misstatement of this other

information, we are required to report that fact. We have nothing to report in this regard.

Responsibilities of the Directors’ for the financial report

The Directors of the Company are responsible for the preparation of the financial report that gives a true and fair

view in accordance with Australian Accounting Standards and the Corporations Act 2001. The Directors’

responsibility also includes such internal control as the Directors determine is necessary to enable the

preparation of the financial report that gives a true and fair view and is free from material misstatement, whether

due to fraud or error.

In preparing the financial report, the Directors are responsible for assessing the Group’s ability to continue as a

going concern, disclosing, as applicable, matters related to going concern and using the going concern basis of

accounting unless the Directors either intend to liquidate the Group or to cease operations, or have no realistic

alternative but to do so.

Auditor’s responsibilities for the audit of the financial report

Our objectives are to obtain reasonable assurance about whether the financial report as a whole is free from

material misstatement, whether due to fraud or error, and to issue an auditor’s report that includes our opinion.

Reasonable assurance is a high level of assurance, but is not a guarantee that an audit conducted in accordance

with the Australian Auditing Standards will always detect a material misstatement when it exists. Misstatements

can arise from fraud or error and are considered material if, individually or in the aggregate, they could

reasonably be expected to influence the economic decisions of users taken on the basis of this financial report.
